Terms of Service

Version 1.0. Effective October 5, 2026. Last updated October 8, 2026.

These Terms are an agreement between you and stotl LLC, the company that operates the Nudge app. By downloading, installing, or using Nudge, you agree to them. If you do not agree, do not use Nudge.

1. Who can use Nudge

Nudge recognizes three age groups: child under 13, teenager 13 to 17, and adult 18 or older. Your group is computed from the date of birth you enter, checked against an age signal from the App Store or Google Play, whichever is lower. Nobody else's statement about your age can override your own. If someone invites you to their family as a child and you enter an adult date, you join as an adult and we tell them you did, unless your phone's own age signal agrees that you are a child, in which case the platform has decided and you join as one.

  1. You must be 18 or older to buy a subscription or create a family.
  2. If you are 13 to 17, you can create an account, join a family by invitation, and use friend connections. If you are under 18, you must have your parent or guardian's permission to use Nudge, and by using it you confirm that you have it.
  3. If you are under 13, you can use Nudge only after a parent or guardian creates a family, gives parental consent, and invites you. You cannot create an account on your own.

Your date of birth cannot be changed after your account is created. If it is wrong, delete the account and start again.

We use age information from the app stores only to decide what you are allowed to do in Nudge and to meet our legal obligations. We do not share it. We keep the age group the store reported, because it is one half of the comparison that decides your age group, as the Privacy Policy describes.

2. Your account

You sign in with your phone number and a code sent by SMS. You are responsible for keeping access to that number and for what happens under your account, except where it results from a security failure that is not your fault.

The app asks for permission to read your contacts, and on Android also to add one, which it uses to open your phone's own new contact screen with a name filled in. You save it; the app does not write to your address book by itself.

Your phone number is the only way into your account. If you lose it, you cannot get the account back. Keep that in mind before you change carriers or give up a number.

One device at a time. Signing in on a new device ends the session on the old one.

Do not create an account for someone else without their permission. The exception is a parent or guardian adding their own child.

3. Families

A family is the unit of subscription. Up to ten people.

A family has one Family Manager and, if the Family Manager chooses, one Parent or Guardian. Everyone else is a member. Whether someone is treated as a child is decided by their date of birth, not by a role.

Family Manager. The person who created the family and holds the subscription. The Family Manager can invite and remove members, set how a child under 13 shares, and delete the family. The Family Manager cannot leave the family; the only exit is to delete the family or delete their own account. The role cannot be transferred. If a different adult wants to run a family, they create their own.

Parent or Guardian. A second adult with parental authority. A Parent or Guardian can invite and remove members, including deleting a child's account, and set how a child under 13 shares, as the Family Manager can. While the family is locked, a Parent or Guardian cannot remove anyone or delete a child's account; Section 7 explains. They can leave the family, which ends the role and reopens it, except while they are the last guardian and a child under 13 is still in the family. A Parent or Guardian cannot delete the family and cannot remove the Family Manager.

The Parent or Guardian role can be assigned and removed. The Family Manager chooses a member's role when sending the invitation, and the invited person sees it before accepting. Nobody can be made Family Manager, and no role changes after a member joins. The Parent or Guardian role ends only when that person leaves, is removed, or deletes their account, and the seat is then open for a new invitation.

Leaving and removing. Anyone aged 13 or over can leave a family, except the Family Manager, who cannot, and except the last guardian of a child under 13, who cannot leave while that child is in the family. Before you leave, we name the people who will stop seeing you and whom you will stop seeing. Anyone aged 13 or over can also delete their own account at any time. A child under 13 in a family can neither leave nor delete; only the Family Manager or a Parent or Guardian can remove them, and removing a child under 13 deletes that child's account. A child under 13 with no family can delete their own account, since the rule exists to stop a child leaving a guardian.

A child's account exists only while a guardian is present. If the Family Manager deletes the family, or deletes their own account, which dissolves the family, every child under 13 in it is deleted at the same time. Teenagers and adults keep their accounts. Before the Family Manager confirms either action, we name the children who will be deleted with it.

A Parent or Guardian may delete a child's account whether or not the Family Manager remains, except while the family is locked. The remaining guardian is notified when it happens.

Sharing for children. What a child under 18 shares with a guardian is Always On, and the child cannot turn it off. Each guardian decides how they share back. A guardian also decides what everyone else in the family sees of a child under 13, starting at Nudge Only; anyone 13 or over decides what the child sees of them, and a guardian can ask them on the child's behalf. Section 5 explains how a relationship is set.

Removed members. When someone aged 13 or over leaves or is removed, their account continues as an individual account. Their relationship with each member of that family ends and location stops flowing in both directions, unless the two of them still belong to another family together, in which case nothing changes between them except membership of the family being left.

If two people were friends before joining a family together, joining replaces the friendship with a family relationship. Leaving ends it, and the friendship is not restored. Either of them can send a friend request afterwards, which the other has to accept. We do not restore a connection without both people agreeing to it.

4. Friends

Anyone 13 or over can have friends on Nudge.

There is no discovery. To invite someone you must already have their phone number saved in your phone's contacts. The person you invite sees who you are before deciding.

  1. Two teenagers can hold Always On or Nudge Only.
  2. A teenager and an adult outside the teenager's family are Nudge Only, and Always On is not available for that pair until both are 18. When both are adults, Always On becomes available but still requires one to ask and the other to agree.
  3. Only the teenager can start a connection between a teenager and an adult outside their family.
  4. A child under 13 has no friends.

Removing a friend ends sharing in both directions immediately. Neither of you is sent anything.

5. Location sharing

Always On. Anyone who sees you on Always On can open your location at any time, without asking. While anyone sees you on Always On, your phone reports its position in the background as you move. Who decides depends on the relationship; see How a relationship is set, below.

Nudge Only. That person cannot see you without asking. They send a nudge, and your location reaches them only if you answer it or send it yourself. Nudge Only does not stop your phone reporting in the background while someone else sees you on Always On.

How a relationship is set. Every relationship has two directions: what the other person sees of you, and what you see of them. Between two people aged 13 or over, the two directions are one shared setting, except between a guardian and their child under 18. Always On then needs one of you to ask and the other to agree, and either of you can end it at any time. In every other relationship each direction is set on its own: you set what the other person sees of you, without asking them, and to see more of them you ask, and whoever sets that direction decides. What a child under 18 shares with their guardians is always Always On. A guardian sets what everyone else sees of a child under 13, and one shared setting between two children under 13. A child under 13 can propose a change, or ask someone to share with them, and a guardian, or that person, decides.

Every look is announced. Opening someone's live location starts a session of up to five minutes. Before any location reaches you, that person is sent a notification and the look is recorded in their history; if their phone has to be asked for its position first, that happens when it answers, or after 30 seconds if it does not. There is no way to see someone's location without both happening. If you stop before anything appears, that is announced too. A viewer is limited to 20 sessions per hour and 120 per day, counted by each server handling their requests.

A location someone sent you is different, because they chose to send it. The first time you open it they are told; every later time is recorded and shown to them on their own screen. There is no limit on opening a location that was sent to you, and no limit on how often you send yours. You cannot send another nudge to someone who has not answered your last one, and an unanswered nudge expires after 24 hours. If they have asked you at the same time, that is a separate question and neither of you is blocked by the other. You can send at most twenty nudges an hour.

You can change what someone sees of you, or turn off location, at any time, except that what a child under 18 shares with their guardians cannot be lowered, a guardian sets a child under 13's sharing, and while a family is locked its members cannot change how they share with each other. When your last Always On relationship ends, background collection stops. If a setting on your phone stops it from sharing while you hold Always On relationships, you are told immediately. If you are under 18, the guardians in your family who hold Always On access to you are told two minutes later. If you are 18 or over, nobody else is told.

You agree not to use Nudge to track, monitor, or harass anyone without their knowledge and consent. Some states restrict or criminalize tracking another person's location. Complying with the law where you are is your responsibility.

6. Nudge is not an emergency or safety service

Do not rely on Nudge to find someone in an emergency.

Nudge shows a location only when a phone can report one. A location may be missing, late, or wrong for reasons outside our control: a dead battery, a phone that is off or in airplane mode, no signal, a changed permission, a power saving mode, a closed or deleted app, or a changed sharing setting. For a friend, Nudge cannot tell you which of those happened, and the absence of a location does not mean anything is wrong. Inside a family you see more: whether the phone is charging, whether it is in a power saving mode, whether location was turned off, whether the app was signed out of or removed.

We do not guarantee that Nudge will be available, that notifications will arrive, or that any location will be accurate or timely. No one at stotl watches your family, and no one is alerted when a location goes missing.

In an emergency, contact emergency services.

7. Subscriptions

Friend to friend nudges are free. Creating and running a family requires a paid subscription bought through the App Store or Google Play.

The first month, and renewal. A new subscription starts with a discounted first month, available once per App Store or Google Play account. You are charged that amount once, at purchase, and it covers the first month. If you have held a subscription before, the standard price applies from the start. After that the subscription renews at the standard price and continues to renew each month unless you cancel at least 24 hours before a renewal. The price for the first month and the price afterwards are both shown before you buy.

Managing it. Cancel or change through your Apple or Google account settings. Cancelling stops future renewals and does not refund the current period. We tell the Family Manager in the app when a renewal is turned off. We do not handle payment and cannot cancel or refund on your behalf.

Refunds follow Apple's and Google's policies. If you cannot resolve one with them, write to legal@nudgegeo.com and we will help where we can.

Price changes are announced in advance and take effect at your next renewal.

If payment stops. If a payment fails, we tell the Family Manager, and the App Store or Google Play may keep the subscription running for a short time while they retry. When the subscription ends, the family locks, and nothing is deleted.

While it is locked, family members cannot open each other's location, see each other's battery or phone status, send or answer each other's nudges, or ask for, accept or change how they share with each other, and nobody can join the family. This includes two people who were friends before they joined. Where two people belong to more than one family together, the family that first connected them decides. Requests that were waiting stay waiting, and expire on their usual date. Guardians are still told when a child under 18 turns location off, and when a child under 13's phone cannot be reached or signs out.

Everyone can still see the member list, and anyone who could leave before can still leave. The Family Manager can still remove a member, delete a child's account, cancel an invitation, rename the family or delete it. A Parent or Guardian cannot remove a member, delete a child's account or cancel an invitation until the plan is renewed, but can still delete their own account and choose to close their children's accounts with it.

Only the Family Manager can restore the family, by renewing, and renewing restores everyone's sharing as it was, apart from anything that changed in the meantime, such as someone leaving, a request expiring or a birthday. The family can be restored for 90 days from the day it locks. After that it is closed: every membership ends, every child under 13 in it is deleted, and adults and teenagers keep their individual accounts. A relationship that only that family held ends, and two people who were friends before they joined do not become friends again.

If the Family Manager loses access to their account, write to legal@nudgegeo.com. There is no automated transfer of the role, and we will help case by case, consistent with our verification practices.

8. Acceptable use

You agree not to:

  1. Use Nudge to track, surveil, or monitor anyone without their knowledge and consent.
  2. Share another person's location without their permission.
  3. Harass, stalk, threaten, or harm anyone.
  4. Reverse engineer, decompile, or tamper with the app.
  5. Use scripts or automated tools against our service.
  6. Get around any age check, parental consent step, or access control.
  7. Break the law, including laws protecting children's privacy.

We do not monitor how you use Nudge. We do not review or supervise location activity, and nothing here obliges us to. We do not verify anyone's identity, and we do not verify that a relationship in Nudge is what either person believes it is.

Reporting. Report a person from inside the app, or write to safety@nudgegeo.com. Anyone can report, including a child or teenager on their own behalf, and a guardian can report on behalf of someone in their family. The person reported is never told. We read every report we store. Reports from inside the app are limited to five a day, and a second report about the same person within a day is not stored; write to safety@nudgegeo.com if you have more to tell us. A report sent from inside the app asks for your email address if you are 13 or over, so we can tell you what we did. A child under 13 is never asked for one and is told by notification instead. What we do about a report is our decision, and the action available to us is deleting an account. We do not promise a particular outcome.

9. What you provide

Nudge collects very little from you: a display name, the name of a family if you create one, the name you type for someone when you invite them, and a report to us, which is never shown to another user. There are no photos, no comments, no captions, and no messaging.

You grant stotl a limited, non-exclusive, royalty free license to store and display that content solely to provide Nudge to you and the people you are connected to. Your display name is visible to people you are connected to and to anyone who has invited you or been invited by you. A family's name is visible to its members and to anyone who has been invited to it, including after they decline or the invitation expires.

You agree not to provide content that is offensive, abusive, defamatory, or infringing. We may remove content that breaks these Terms.

If you believe content on Nudge infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent:

legal@nudgegeo.com

Our agent is registered with the U.S. Copyright Office under 17 U.S.C. § 512(c). Your notice must contain what 17 U.S.C. § 512(c)(3) requires: identification of the work, identification of the material and where to find it, your contact information, a statement of good faith belief, a statement under penalty of perjury that your information is accurate and that you are authorized to act, and your signature. If you believe a takedown was a mistake, send a counter notice to the same address. We terminate the accounts of repeat infringers where circumstances warrant.

10. Our intellectual property

Nudge and everything in it, including the software, design, graphics, and trademarks, belongs to stotl LLC. These Terms grant you no right to our trademarks or logos. We grant you a limited, revocable, non-exclusive, non-transferable license to use Nudge for your own personal, non-commercial purposes.

11. Disclaimer

NUDGE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT NUDGE WILL BE UNINTERRUPTED OR ERROR FREE.

We do not guarantee the accuracy, availability, or timeliness of location data. GPS has limits and is not precise everywhere. See Section 6.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOTL LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF NUDGE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THESE TERMS OR YOUR USE OF NUDGE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $100.

Nothing here limits liability that cannot be limited by law, including liability to minors where such limitation is prohibited.

YOU ACKNOWLEDGE THAT SECTIONS 6, 11, AND 12 ALLOCATE RISK BETWEEN US AND ARE THE BASIS ON WHICH NUDGE IS OFFERED AT THE PRICE CHARGED.

Some jurisdictions do not allow these exclusions, in which case our liability is limited to the greatest extent the law permits.

13. Indemnification

You agree to defend, indemnify, and hold harmless stotl LLC and its officers, members, employees, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from your use of Nudge, the content you provide, or your breach of these Terms. This section does not apply where the law prohibits it, including with respect to minors.

14. Ending your use

You can delete your account at any time in the app or at nudgegeo.com/delete-account. Deletion is immediate from your side and silent to everyone else. A child under 13 cannot delete their own account; their guardian can. Deleting your account removes your own history. The other person's record of an event you shared is theirs and stays, without your name once your account is gone. Deleting your account does not cancel a store subscription; cancel it through the App Store or Google Play, or it will keep billing.

We may end your access at any time, with or without notice, including for breaking these Terms.

Provisions that by their nature should survive will survive, including ownership, disclaimers, indemnity, and limitations of liability.

15. Disputes and arbitration

PLEASE READ THIS SECTION. IT AFFECTS YOUR RIGHT TO GO TO COURT AND TO A JURY TRIAL.

Talk to us first. Before starting a formal dispute, write to legal@nudgegeo.com and give us 30 days to resolve it.

Arbitration. If we cannot resolve it, you and stotl LLC agree that any dispute arising out of or relating to these Terms or your use of Nudge, including questions about this arbitration agreement itself, will be resolved by final and binding individual arbitration rather than in court. Arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules, available at adr.org. It takes place in Delaware, or at your election in the county where you live, or by phone or video.

Fees. Allocated as the AAA Consumer Rules require. stotl LLC pays any fees that exceed what you would have paid to file the same claim in court, up to the limits in those rules.

No class actions. YOU AND STOTL LLC EACH AGREE THAT ANY PROCEEDING WILL BE INDIVIDUAL ONLY, NOT A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is unenforceable for a claim, arbitration does not apply to that claim and it goes to court.

Coordinated claims. If 25 or more claimants represented by the same or coordinated counsel file substantially similar demands within 90 days, they will be resolved in staged batches of no more than 50, each before a single arbitrator, with limitations periods tolled for those waiting. If this provision is unenforceable, demands proceed individually under the AAA rules and the rest of this section stands.

Public injunctive relief. Nothing here waives any right to seek public injunctive relief in court where that right cannot lawfully be waived, including under California law.

Small claims. Either of us may bring an individual claim in small claims court where you live instead of arbitrating, if it qualifies.

Injunctions. Either of us may seek emergency injunctive relief in court to stop infringement or misuse of intellectual property or confidential information, or to prevent irreparable harm, without waiving anything else here.

COPPA claims are excluded. Claims brought by a parent or guardian relating solely to the collection, use, or disclosure of a child under 13's personal information in alleged violation of the Children's Online Privacy Protection Act are not subject to arbitration and may be brought in any court with jurisdiction.

Opting out. You can opt out of arbitration by writing to legal@nudgegeo.com within 30 days of first accepting these Terms, with your name, the phone number on your account, and a clear statement that you are opting out. Everything else in these Terms still applies.

Governing law. Delaware law governs, without regard to conflict of law principles. For claims outside arbitration, you consent to the exclusive jurisdiction of the state and federal courts in Delaware.

16. App store terms

Your use of Nudge is also subject to the terms of the store you got it from. Where they conflict with these Terms, the store's terms prevail to the extent required.

If you got Nudge from the Apple App Store:

  1. These Terms are between you and stotl LLC, not Apple. stotl LLC alone is responsible for Nudge.
  2. Your license is limited to using Nudge on Apple branded products you own or control, as the Apple Media Services Terms allow.
  3. Apple has no obligation to provide maintenance or support.
  4. To the maximum extent the law permits, Apple has no warranty obligation for Nudge, and any failure to conform to a warranty is stotl LLC's responsibility.
  5. stotl LLC, not Apple, handles any claim relating to Nudge, including product liability, consumer protection, and intellectual property claims.
  6. You confirm you are not in a country subject to a U.S. embargo or designated as terrorist supporting, and are not on any U.S. list of prohibited or restricted parties.
  7. Apple and its subsidiaries are third party beneficiaries of these Terms and may enforce them against you.

17. App Tracking Transparency

Nudge does not track you across other companies' apps or websites for advertising and does not share data with third parties for that purpose, so it does not show an App Tracking Transparency prompt.

18. Export controls

You confirm that you are not located in a country subject to U.S. sanctions or designated as terrorist supporting, and that you are not on any U.S. list of prohibited or restricted parties, including the Specially Designated Nationals list.

19. Electronic communications

By using Nudge you agree to receive communications from us electronically, in the app and by push notification. You agree that these satisfy any legal requirement that a communication be in writing, to the extent the law permits, including under the federal E-SIGN Act. The one exception is a report: if you send us one and you are 13 or over, we ask for an email address so we can tell you what we did about it, and we use it for that and nothing else.

20. Notices

We may reach you through the app or by push notification. Send notices to us at legal@nudgegeo.com.

21. Assignment

You may not assign these Terms without our written consent. We may assign them, in whole or in part, without notice, including in a merger, acquisition, reorganization, or sale of assets. An attempted assignment in breach of this section is void.

22. Force majeure

We are not liable for a delay or failure caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemic, civil unrest, labor disputes, power or network failures, government action, or the failure of a third party service provider.

23. Severability

If a provision of these Terms is invalid or unenforceable, it is limited or removed to the minimum extent necessary and the rest remains in force.

24. Entire agreement

These Terms, with the Privacy Policy and any other terms we post in the app, are the whole agreement between you and stotl LLC about Nudge and replace anything earlier on the same subject.

25. No waiver

If we do not enforce a provision, we have not waived it and may enforce it later.

26. Changes

We may update these Terms and will say so in the app when a change is material, meaning it affects your rights or our obligations, including dispute resolution, limitation of liability, or licensing. The dates at the top show the current version. We do not record which version you have seen. Continuing to use Nudge after a change takes effect means you accept it.
